Kinanis LLC has acted on behalf of our client and assisted in the preparation of documents necessary for the transfer of shares in a Cyprus joint venture which was incorporated as part of a project for the construction and sale of villas in Cyprus.
Our engagement on this project involved:
- review of the agreement relating to the incorporation of the joint venture and the project with the villas;
- review of the articles of association of the joint venture, shareholders’ rights and exit options;
- negotiations and meetings with the client in order to advise them on the procedure to be followed for exiting the joint venture, terminating the agreement in relation to the construction of villas and receiving compensation for non-completion of the project;
- drafting and/or review of documents necessary under Cyprus law for effecting the transfer of shares in the joint venture and for terminating the agreement in relation to the construction of villas.
