Kinanis LLC has acted on behalf of our client and assisted in the preparation of the Transfer of Shares along with the amendment of the Articles of Association of the Company.
Our engagement on this project involved:
1. Reviewed the Articles of Association of the company and the changes proposed by the Client;
2. Meetings and negotiations with the client in order to advise them on the rights of each shareholder and commented on the proposed changes suggested by the client.
3. Incorporated the changes in regards to right of each member, pre-emption rights, quorum, and voting rights for special resolution and ordinary resolution
4. Drafting and/or review of documents necessary under Cyprus law for effecting the transfer of shares and amending the articles of association.
5. Kinanis LLC drafted the documents necessary under Cyprus law for advised accordingly.
