Kinanis LLC has acted as legal advisor on behalf of a Cyprus entity and assisted in the preparation of documents necessary for the cross-border merger of the Cyprus entity with its wholly owned Austrian subsidiary, aiming to optimize corporate governance, simplify the structure of the companies and to ensure the efficiency of their business activities. Our engagement on this project involved negotiations and meetings with the client, the auditors of the merging companies and the lawyers of the Austrian absorbed company in order to finalise the merger terms and perform all actions necessary for the approval of such terms, drafting and/or review of documents necessary under Cyprus law for effecting the cross-border merger and cooperation with Austrian lawyers and the auditors for the finalisation of all the merger documents and relevant accounting records.
