Kinanis LLC has acted on behalf of our client and assisted in the preparation of the Legal Memo requested by a bank in Montenegro in relation to matters relevant for the declaration of dividends.
The objective of the Legal Memo was to analyse the right of a New Shareholder to receive dividends as declared from time to time by the Company, taking into account the provisions of a Share Purchase Agreement. To this end, our firm :
1. Reviewed the share purchase agreement relating to the incorporation of the joint venture and the project with the villas;
2. Reviewed the articles of association of the company and shareholders’ rights;
3. Engaged in meetings with the client in order to advise on his right to receive dividends and the procedure to be followed in relation to the transfer of shares in his name.
