Our Work

Kinanis LLC advised two Cypriot entrepreneurs on the protection and structuring of intellectual property (IP) rights for an e-learning program they developed. The engagement included the suggestion to incorporate a Special Purpose Vehicle (SPV) to hold the IP in exchange for shares. However, the entrepreneurs opted to utilise an existing dormant company, which Kinanis LLC assisted in restructuring to facilitate the transaction. Our work involved ensuring an equal 50% shareholding for each entrepreneur, drafting the contribution agreement, and securing a tax ruling from our tax department confirming joint ownership of the IP. Additionally, we provided advice on trademark considerations, clarifying that while the content was not registrable as trademarks or patents, copyright protection applied automatically under Cyprus law, and recommended the use of the copyright symbol (©) on all materials to safeguard ownership.
